# ArmorOS Terms of Use (Buyer)

## 1. What ArmorOS Is

ArmorOS is operated by Cabrillo Club LLC. It is a **broker platform** that aggregates buyer demand across agencies and geographies and runs competitive bids with qualifying manufacturers. ArmorOS is **not** a merchant, reseller, or party to product sales. Products are sold directly between the manufacturer (Vendor) and Buyer.

## 2. Buyer Intents Are Non-Binding

Submitting an intent to buy ("Join the next bid") does **not** create a purchase obligation. You may decline the winning bid when it's presented to you.

## 3. Demand Aggregation Consent

By submitting an intent, you consent to ArmorOS pooling your intent anonymously with intents from other agencies for the purpose of running a competitive bid. Your identity is **not** disclosed to vendors until you accept the winning bid; ArmorOS may share aggregate demand metrics (total quantity, total value, region, armor type) with invited vendors.

## 4. Transactions Occur Directly With Vendors

When you accept a winning bid:
- ArmorOS introduces you to the selected Vendor
- The purchase contract is between you and the Vendor
- Product warranty, delivery, returns, and quality are the Vendor's sole responsibility
- ArmorOS facilitates but does not guarantee transaction completion

## 5. Broker Fee

The broker fee is paid by the Vendor, not by you. You will not be charged for using ArmorOS.

## 6. No Warranty From ArmorOS

ArmorOS provides the platform "as is." We don't warrant specific product performance, vendor delivery timing, or transaction outcomes. Product-level warranties are the Vendor's obligation.

## 7. Dispute Resolution

If a dispute arises between you and a Vendor after introduction, ArmorOS will facilitate resolution in good faith but is not a party to the dispute and is not financially liable for outcomes. You may file a dispute via the ArmorOS profile.

## 8. Your Data

- We collect only the information you provide (email, agency affiliation, intent details)
- We don't share your identity with vendors until you accept a bid
- We may retain aggregate, anonymized transaction metadata for pricing intelligence and benchmarking

## 9. Acceptable Use

You agree to provide accurate information, not submit fake intents, and not use ArmorOS to circumvent broker-fee obligations you owe elsewhere.

## 10. Governing Law

These terms are governed by the laws of the State of Delaware.
